Preamble and Introduction

Welcome to the Hi Tutor software and services!

The Hi Tutor User Agreement (hereinafter referred to as "this Agreement") is a legal agreement entered into between you and EASETREND TECHNOLOGY LIMITED (hereinafter referred to as "Hi Tutor", "we", "us", or "our") regarding the license to use and the operational management services of this software. We hereby specifically remind you to read and fully understand all the terms of this Agreement, especially the clauses concerning the exemption and limitation of liability, privacy protection, rules of use, applicable law, and dispute resolution, as well as other important clauses that may be brought to your attention in bold, uppercase, or other prominent forms. You must be of legal adult age in your jurisdiction to access and enter into this Agreement. If you are not of legal adult age, please read and fully understand this Agreement accompanied by your legal guardian, and use this software and related services only after obtaining the explicit consent of your legal guardian.

By clicking "agree" on a web page/pop-up window or by actually using the Hi Tutor software and services, you are deemed to have read, understood, and agreed to be bound by this Agreement. If you do not agree to this Agreement, please do not use any Hi Tutor software or services.

General Overview of this Agreement

• About this Service: This refers to the online courses and smart tutor services we provide to you through the Hi Tutor software.
• Scope of Application: This Agreement applies to all products and services provided by Hi Tutor, including applications for computers and mobile smart terminals, mini-programs, web pages, or other forms that may appear in the future. Please refer to the specific services provided by Hi Tutor.
• Protection of Minors: If you are under 18 years of age (or have not reached the legal age of majority in the jurisdiction where you use this software or service), please read and fully understand this Agreement carefully in the company of your parent or legal guardian. Your agreement to and actual use of this software and its services indicate that you have read this Agreement with your parent or legal guardian, and that you and your parent or guardian understand and agree to this Agreement. If you are a parent or guardian permitting a minor to use the Hi Tutor software or services, you agree to: (i) supervise the minor's use of the Hi Tutor software or services; (ii) assume all risks associated with the minor's use of the Hi Tutor software or services, including but not limited to the risk of content transmission with third parties via the internet; (iii) assume any liability arising from the minor's use of the Hi Tutor software or services; (iv) ensure the accuracy and truthfulness of all information submitted by the minor; and (v) assume responsibility for the minor's use of the Hi Tutor software or services under this Agreement and be bound by this Agreement.
• Agreement Updates: To improve your user experience or enhance product security, we will continuously develop new software and services and provide you with timely software updates (including but not limited to software version upgrades, modifications, functional improvements, etc.) or fixes. We have the right to modify this Agreement when necessary in accordance with applicable laws and regulations. The updated terms will replace the original agreement and will take effect after the period prescribed by applicable law expires. If there is no special provision in the applicable law, this Agreement will take effect from the date of update. The updated terms will be published on the Hi Tutor software and services, which you can review at any time. If you continue to use the Hi Tutor software and services after this Agreement is updated, you are deemed to have accepted the updated agreement. If you do not accept the updated agreement, you have the right to stop using Hi Tutor products and services.

Scope of Software License

Subject to your compliance with this Agreement, Hi Tutor grants you a limited, non-exclusive, non-sublicensable, non-transferable, personal, and revocable license to access and use the Software and the Service. You may install, use, display, and run the Software and the Service on a terminal device that you own or have the right to use for non-commercial purposes. All other rights related to the Software not expressly granted to you in this Agreement are reserved by us. If you wish to use other rights of the Software, you must obtain our separate consent.

About Hi Tutor Software and Related Services

Hi Tutor is a software independently developed by us, and its main services include but are not limited to:

• Browsing and playback of online courses;
• Q&A with an AI smart tutor;

Please understand and acknowledge that our services may be adjusted and updated from time to time based on your needs or our operational requirements. Please refer to the service functions displayed in real-time on our software's webpage or other service interfaces (if any).

You understand and agree that during your use of the Software and related services, we may push relevant information, advertisements, or brand promotion services to you. We will display commercial advertisements, promotions, or information (including commercial or non-commercial information) from the Software and related services and/or third-party suppliers and partners within the Software and related services. If you do not wish to receive personalized advertisements, you have the right to opt out of such personalized advertising information, but you may still receive non-personalized advertisements in our products. If you receive advertisements via email or SMS, you have the right to unsubscribe.

You understand and agree that we may suspend, interrupt, or terminate the provision of the Software and the Service based on our own business development needs or at the request of judicial, regulatory, or supervisory authorities.

Unless permitted by applicable law and with our written authorization, you may not use, or otherwise export or re-export, the Software and the Service.

Restrictions on the Use of the Software and Service

When using the Software and the Service, you shall not engage in the following acts, including but not limited to:

• Publishing, transmitting, disseminating, or storing content that violates laws, regulations, policies, public order, and good customs, or social morality, such as insults, defamation, violence, or religious offenses; publishing, transmitting, disseminating, or storing false information, advertising information, or other misleading, deceptive content that affects others;
• Renting, lending, copying, modifying, linking, reprinting, compiling, publishing, or creating similar works of the Software;
• Jailbreaking, reverse engineering, reverse assembling, reverse compiling, or otherwise attempting to destroy the Software; or using plug-ins, add-ons, or unauthorized third-party tools/services to access or interfere with the Software;
• Copying, modifying, adding, deleting, or creating any derivative works from the data released into any device's memory during the operation of the Software, the interaction data between the client and the server during the software's operation, and the system data necessary for the software's operation, or modifying or forging instructions or data during the software's operation, adding, deleting, or changing the functions or operational effects of the software, or operating or disseminating the software or methods used for the above purposes to the public, whether for commercial purposes or not;
• Engaging in other acts that violate laws, regulations, policies, public order, and good customs, social morality, or are not permitted in writing by us.

You shall not, and you agree not to, or enable others to, copy (except as expressly permitted by this license), decompile, reverse engineer, disassemble, attempt to derive the source code of, decrypt, modify, or create derivative works of the Hi Tutor software, any services provided by the Hi Tutor software, or any part thereof (except as and only to the extent any foregoing restriction is prohibited by applicable law or to the extent as may be permitted by the licensing terms governing use of any open-sourced components included with the Hi Tutor software). You agree not to remove, obscure, or alter any proprietary notices (including trademark and copyright notices) that may be affixed to or contained within the Hi Tutor software.

Intellectual Property and Ownership

We own the intellectual property rights, ownership, and all rights not expressly granted to you in relation to the Software, the Service, and all related information content (including but not limited to UI interface design, images, fonts, audio, etc.). This includes but is not limited to copyrights, trademarks, and patent rights, and is protected by applicable intellectual property, anti-unfair competition, and other laws and regulations, as well as relevant international treaties. For matters not expressly authorized by this Agreement, such as commercial sale, reproduction, or licensing any third party to use the Software, you must obtain our separate written permission.

You provide input to the Service ("Input") and receive output generated and returned by the Service based on the Input ("Output"). Input and Output are collectively "Content." To the extent permitted by applicable law, all rights, title, and interest in and to the Content belong to the respective owner. You are responsible for your use of the Content, including ensuring that it does not violate any applicable law or these Terms.

Precautions for Your Use of the Software and Service

You fully understand and agree that:

• When using a specific service of the Software, you may need to grant access to relevant permissions, interfaces, etc., on your device to enable the corresponding functions. Some specific services may also require you to agree to separate user agreements. Please read the aforementioned relevant agreements and rules carefully before using such services.
• We have the right to display various information to you during the provision of the Service, including but not limited to authorized prompts, advertising information, and promotional information. This information may appear in the form of system messages or pop-up windows. If you do not agree to receive it, you may cancel the relevant service, which may ultimately result in the inability to use the related service functions.
• You understand and agree that we will make reasonable commercial efforts to ensure the security of your data storage while using the Service. However, we cannot provide a complete guarantee, including but not limited to the following situations:
  • To the maximum extent permitted by law, we are not responsible for the deletion or storage failure of your data in the Software and Service.
  • We will store information for the minimum period required for business needs, unless you agree to extend the retention period or it is permitted by law. We also have the right to decide on the maximum storage space for your data in the Software. You may back up the relevant data in the Software and Service according to your own needs.
• The specific content displayed when you use the Service may vary depending on the software version you are using. You understand and agree that when you use certain versions of the Software or access pages of applications developed by us, we may adjust necessary information on your terminal device, such as the installation position, size, and UI interface of already installed applications, to provide you with a better service experience. The actual version provided by us shall prevail.
• You fully understand and agree that if you need to register an account to use the Software, you are responsible for keeping your registration account information and password secure. You are responsible for all activities that occur under your registered account, including any content you publish and any consequences arising therefrom.
• You fully understand and agree that during your use of the Service, you should not submit private information that may affect your or others' personal or property safety. You are responsible for your actions during the use of the Service, including any content you publish and any consequences arising therefrom.

About Updates

To better provide you with relevant services and ensure the security of this Software, we will from time to time provide updates or iterations for this Software and related services (including but not limited to software modifications, software version upgrades, discontinuation of some functions, feature enhancements, development of new services, software replacement, and functional improvements). You can choose whether to update the corresponding version according to your needs. We will also, where feasible, prompt you in an appropriate manner (including but not limited to system prompts, in-site messages, announcements, app store update prompts, etc.). You have the right to choose whether to accept the updated version. Updating to the latest version may improve your user experience. If you choose not to accept the update function provided by Hi Tutor, you should understand that you may expose the software to serious security risks or cause the software to become unusable or unstable. Certain functions and services of this Software may be restricted or unusable if the version is not updated.

Software or Services Provided by Third Parties

To facilitate your use of the Hi Tutor software and services, this Software or Service may use third-party software or services. The results of such use or access are provided by the third party (including but not limited to services and content provided by third parties that you jump to through this Software or Service, and services and content accessed by third parties through the Hi Tutor open platform). When using third-party software or services within this Software, in addition to complying with this Agreement, you should also comply with the third party's user agreement. We cannot guarantee the security, accuracy, validity, or other uncertain risks of the services and content provided by third parties. To the maximum extent permitted by applicable law, you shall bear the relevant risks and responsibilities yourself.

Regardless of whether the third-party software or service is pre-installed in the Hi Tutor software and service, or opened or subscribed to by you, you understand and agree that we cannot provide any express or implied guarantee for the security, accuracy, validity, or other uncertain risks of the services and content provided by third parties.

Any dispute between you and the third party providing the software and services shall be resolved by you and the third party, and you shall bear the relevant responsibility.

About Fees and Advertising

You understand and agree that the Software and Service are currently provided free of charge. However, as our services continue to be updated, some software or services provided by Hi Tutor may require payment. We reserve the right to add paid features to future services, and we also reserve the right to display advertisements related to this Software or Service to you. If there are any paid services, we will provide you with a clear prompt before you use them, and you can freely choose whether to accept or use them. At that time, please use them according to our prompts (including but not limited to service fee standards, payment conditions, and service rules). You can only use such paid services after you have explicitly agreed to the relevant agreement and are willing to pay the fees.

Your use of the Software and Service will consume your device, bandwidth, traffic, and other resources. You are responsible for bearing the costs of the aforementioned resources, such as internet access fees, SMS fees, and fees for value-added software services.

Privacy Policy

When you use the Hi Tutor software and services, we may need to collect personal data to provide you with services. We attach great importance to the protection of your personal data and have formulated the Hi Tutor Privacy Policy (see the "Privacy Policy" for details), which explains in detail how Hi Tutor collects, uses, stores, transfers, and discloses your personal data. You can also view the details of the "Privacy Policy" in [Me - Privacy Policy]. The Privacy Policy forms part of this Agreement. Your download, installation, or use of the service indicates that you agree to be bound by the terms of this Agreement and its Privacy Policy, and we will protect your privacy in accordance with this Privacy Policy.

Termination of Agreement and Liability for Breach

We have the right to judge whether your conduct complies with the provisions of this Agreement. If you are found to be in violation of any laws, regulations, or any terms and provisions of this Agreement or related rules, depending on the severity of your violation, Hi Tutor and its licensors have the right to take measures against you without notice, such as deleting the infringing information, restricting, suspending, or terminating your use of the Software and Service. At the same time, you will be held responsible for your misconduct. After the termination of this Agreement, we will continue to retain all kinds of information you have left in the Hi Tutor software in accordance with the requirements of applicable laws and regulations, and will delete the information generated during your use of this Software from our database within a reasonable period. You agree that, to the maximum extent permitted by applicable law, we shall not be liable to you for such deletion.

Indemnification

You agree to indemnify, defend, and hold harmless us, our licensors, our agents, and all officers, directors, and employees from and against any and all third-party claims, actions, losses, damages, liabilities, judgments, costs, and expenses (including reasonable attorneys' fees) arising from: (i) your or any person you allow to use the Service's failure to comply with the provisions of this Agreement, (ii) your or any person you allow to use the Service's violation of the provisions of this Agreement, or (iii) your or any person you allow to use the Service's violation of any law, regulation, or the rights of any third party.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, our software and services are provided on an "as is" and "as available" basis, and we hereby expressly disclaim any and all warranties or other commitments, whether express, implied, or statutory, including, but not limited to, implied warranties, duties, or conditions (if any) of merchantability, fitness for a particular purpose, accuracy or completeness of responses, results, workmanlike effort, lack of viruses, and lack of negligence, all with regard to the software and service.

This software contains no malicious code designed to destroy your device data or obtain your privacy information. We will do our best to ensure the safe, timely, effective, accurate, reliable, and continuous operation of this software and service. However, limited by existing technology, this software and related services may be affected or interfered with by various unstable factors. We cannot guarantee full compatibility with all software and hardware systems, that the software will be completely error-free or uninterrupted, or that any errors in the software and related services will be corrected. If incompatibility, software errors, or similar situations occur, please contact us for technical support. If the compatibility issue cannot be resolved, you may delete this software. To the maximum extent permitted by applicable law, we are exempt from liability for any losses caused to you thereby.

Limitation of Liability

To the extent not prohibited by applicable law, in no event shall we, our affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses (even if we have been advised of the possibility of such damages), arising out of or relating to:

• (1) the use or inability to use the service;
• (2) unauthorized access to or alteration of your transmissions or data;
• (3) deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the service;
• (4) statements or conduct of any third party on the service; and
• (5) any other matter relating to the service.

Some jurisdictions do not allow the exclusion or limitation of liability for personal injury, or of incidental or consequential damages, so this limitation may not apply to you. At the same time, our maximum aggregate liability to you for all damages shall not exceed the total amount you paid for the use of the software or service in the 12 months prior to the date of your claim (if paid services are involved), unless the laws of your jurisdiction do not permit the limitation of liability by agreement, in which case the applicable laws and regulations shall govern.

Governing Law and Dispute Resolution

• Governing Law: The confirmation, performance, interpretation, modification, and resolution of disputes of this Agreement shall be governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict of law provisions. You agree that this Agreement is signed in Hong Kong.
• Arbitration: Any dispute or controversy arising out of or in connection with this Agreement between you and us shall first be resolved through friendly negotiation. If friendly negotiation fails, you unconditionally agree to submit any dispute or controversy arising from, relating to, or in connection with us, our directors, agents, and employees (whether in contract, tort, or otherwise) to the Hong Kong International Arbitration Centre (HKIAC) for arbitration in accordance with the HKIAC's arbitration rules. The arbitration shall be conducted by one (1) arbitrator. The arbitration shall take place in Hong Kong, China. The arbitration proceedings and all pleadings and written evidence shall be in English. The award made by the arbitrator may be enforced in any court of competent jurisdiction. Any arbitration under this Agreement will be on an individual basis; you are not entitled to arbitrate any claim as a class, collective, or representative action, and you will not bring or participate in any class action against us.

General Provisions

• Headings: The headings of all terms of this Agreement are for reference only, have no actual meaning themselves, and cannot be used as a basis for interpreting the meaning of this Agreement.
• Severability: If any term or provision of this Agreement is found by any judicial or administrative body to be partially invalid or unenforceable for any reason, such finding shall not affect the remaining terms and provisions of this Agreement, which shall remain in full force and effect and shall be construed in accordance with their terms.
• Language: If this Agreement is available in multiple language versions, such as English and Arabic, and there is any inconsistency in the corresponding content, the English version shall prevail.
• No Waiver: Our failure at any time to enforce any provision of the Hi Tutor services or to require performance by you of any provision of the Hi Tutor services shall in no way be construed to be a present or future waiver of such provision, nor in any way affect our right to enforce such provision thereafter. Our express waiver of any provision, condition, or requirement of the Hi Tutor services shall not constitute a waiver of any future obligation to comply with such provision, condition, or requirement.
• Entire Agreement: This Agreement constitutes the entire agreement between you and us regarding the use of the software and supersedes any prior agreements between you and Hi Tutor regarding the use of the software. You may also be subject to additional terms and conditions that may apply when you use or purchase open-source software, third-party content, or other services.
